TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of Offlist, operated by Mike Laing trading as Offlist (“Offlist”, “we”, “us”), accessible at app.offlist.today (“the app”).

By creating an account and using Offlist you agree to these Terms. Please read them carefully.

1. Who we are

Offlist is operated by Mike Laing, a sole trader based in the United Kingdom. Contact us at support@offlist.today.

2. Eligibility

You must be at least 16 years old to use Offlist. By creating an account you confirm that you meet this requirement.

3. Your account

You are responsible for:

  • Keeping your login credentials secure
  • All activity that occurs under your account
  • Providing accurate information when signing up

You must not share your account with others or use another person’s account without permission.

4. Acceptable use

You agree not to use Offlist to:

  • Violate any applicable law or regulation
  • Transmit harmful, offensive, or illegal content via SMS reminders
  • Attempt to reverse engineer, hack, or disrupt the service
  • Use automated tools to access the service in a way that could damage or overload it
  • Impersonate any person or entity

We reserve the right to suspend or terminate accounts that violate these terms.

5. Subscription plans and billing

Free plan The free plan is available at no cost with certain feature limitations as described on our website.

Paid plans Standard and Power plans are available on a monthly or annual subscription basis. Prices are displayed at the point of purchase in GBP.

Billing Subscriptions are billed in advance on a recurring basis (monthly or annually depending on your chosen plan). Payment is processed securely by Stripe.

Cancellation You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

No refunds We do not offer refunds for any subscription payments, partial periods, or unused time. If you cancel, your subscription remains active until the end of the period you have paid for. This does not affect your statutory rights under UK consumer law.

Price changes We reserve the right to change subscription prices. We will give you at least 30 days notice of any price increase before it applies to your subscription.

6. SMS reminders

SMS reminders are available on paid plans only. By adding a phone number and scheduling reminders you confirm:

  • You are the owner or authorised user of the phone number provided
  • You consent to receive SMS messages from Offlist via Twilio
  • Standard message rates from your mobile carrier may apply

We are not responsible for delays or failures in SMS delivery caused by third party carriers or Twilio.

7. AI chat

Offlist uses OpenAI’s API to power the AI chat feature. By using the chat you acknowledge:

  • Your messages are processed by OpenAI in accordance with their privacy policy
  • The AI may occasionally produce inaccurate or unhelpful responses
  • The AI is a productivity tool, not a substitute for professional advice of any kind
  • Chat history is stored for 24 hours then permanently deleted

8. Data and content

You retain ownership of all content you enter into Offlist including your tasks and chat messages.

By using Offlist you grant us a limited licence to store and process your content solely for the purpose of providing the service to you.

We do not use your content to train AI models or for any purpose beyond delivering the service.

9. Service availability

We aim to keep Offlist available at all times but we do not guarantee uninterrupted access. We may occasionally take the service offline for maintenance.

We are not liable for any loss or inconvenience caused by service downtime.

10. Limitation of liability

To the fullest extent permitted by UK law, Offlist and Mike Laing shall not be liable for:

  • Any indirect, incidental, or consequential loss arising from your use of the app
  • Loss of data beyond what is described in our data retention policy
  • Any loss arising from third party service failures (Stripe, Twilio, OpenAI, Supabase)

Our total liability to you for any claim shall not exceed the amount you have paid to us in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

You may delete your account at any time via the Settings tab. This will permanently delete all your data in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of significant changes by email. Continued use of the app after changes constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
